Found this also but it doesn't have a link
A source close to the Willis McGahee negotiations tells us that the Buffalo Bills have indeed agreed to terms with the No. 23 overall pick on a four-year deal with a club option for year five.
Per the source, McGahee will receive guaranteed signing and option bonuses of $3,750,000, plus a roster bonus of $400,000 if he's on the 53-man roster for four games in 2003, or if he participates in 80 percent of the team's offensive plays in any following year.
As to incentives, the Bills have dangled a whopping $8.0 million carrot, which primarily arises from playing time, rushing yards, total yards, touchdowns, and receptions, with only a nominal amount hinging on Pro Bowl status.
In 2003, McGahee can earn $275,000 in incentives. In 2004, he can earn up to $1.15 million in incentives. In 2005, 2006 and 2007 (if the club picks up the year-five option), he can earn another $1.65 million each year.
The contract also contains a fifth-year escalator that can be worth up to $2.5 million in additional money for McGahee. If he rushes for 1,000 yards in any two seasons, the salary goes up by $1.25 million in year five. If he rushes for 1,250 or more in any two years, his 2007 salary bumps by another $250,000. Two seasons of 1,500 or more results in another $500,000 in 2007, and a third season of 1,500 or more triggers another half-million in the final year of the deal.
In all, the contract compares very favorably to those nailed by other first-round draft picks. Folks familiar with the terms of other deals tell us that McGahee will get more bonus money than Rex Grossman, who was drafted higher than McGahee, and that the total dollars are greater than the deals inked by Terrell Suggs at No. 10 and Kevin Williams at No. 9.
Also, the Bills essentially have guaranteed McGahee's $411,000 salary for 2003, promising to pay him even if he lands on the non-football injury list (which per the CBA does not require payment of any game checks).

So looking at the Edgerrin James -to-Miami in the 2005 offseason, with the franchise tag of only $5.1 Million, either Edge gets franchised at an affordable price or they exact a top draft pick from Miami- which should be a top 10-15 pick.
Miami would be better off drafting one.

I do not believe Indy will even try to sign him. They will concetrate on re-signing Harrison and likely try to add a RB in FA for much less than James or draft a RB. James to the Fins, on the surface, seems plausible. Fins will be in better cap shape than in the past couple of yrs

Seriously, what Running back of star quality even close to James will be available in Free Agency? Why not try to extend Harrison sooner than later, defer some of the money/bonus, and then Tag James- at least get a pick for him- someone- if not Miami- will be looking hard.
The only big name with plenty of tread left who might be available(via trade) will be Henry or McGahee

Indy is a cash-poor organization. They likely will not be able to re-sign both. Harrison has been much more durable than James. Granted, Harrison is older, but he hasn't shown any fall off. James has. It will be easier to replace James
